Company secretary and statutory record services
The company secretary maintains statutory records and handles annual returns and filings following company decisions. Directors and shareholders retain their respective management and decision-making responsibilities.
WeCorp provides company secretary services for new and existing companies. A change of secretary also involves handing over company documents, filing records and outstanding matters.
Company secretary services from HK$900 a year
WeCorp’s annual company secretary package covers the following seven services:
- Acting as the company secretary.
- Submitting the company annual return to the Companies Registry.
- Preparing share-transfer paperwork.
- Handling changes of directors or their particulars.
- Handling a change of company name.
- Handling a change of company address.
- Preparing share-issuance paperwork.
After the company confirms its decisions, provides the information and signs the documents, WeCorp follows up the records and filings. Government charges and work outside the package are listed separately.
Company secretary fees and government charges
The annual service fee starts at HK$900. The HK$105 government registration fee for an on-time annual return of a local private company is separate. That rate applies when the return is delivered within 42 days after the incorporation anniversary; late delivery attracts higher fees.
The quotation states the service period, seven included services and any selected address, accounting or tax services. Government charges and stamp duty for matters such as name changes or share transfers are itemised separately.
Changes to company particulars
Changes to directors, shareholders, shares, the company name or address require the effective date, company decisions and supporting documents to be checked.
Prepare the relevant forms and update records for each change, including business registration particulars. Services also cover preparation and retention of shareholders’ meeting minutes and related resolutions where required. Directors and shareholders retain their respective decision-making responsibilities.
Significant controllers and the designated representative
The Significant Controllers Register records the relevant particulars of individuals or entities that own or control the company.
Confirm the register’s location, updates and designated representative arrangements against the selected package.
Annual returns and accounting services
An annual return updates company registration particulars. A profits tax return concerns accounts and tax information; the two filings have different purposes.
WeCorp also arranges accounting and tax filing services. Bookkeeping, statements, audit-related work and tax filing are included only as specified in the selected service and quote.
Changing company secretary and handing over records
The handover covers the current appointment period, annual returns, business registration renewal and outstanding work, including share transfers, director changes, unanswered correspondence and tax matters.
The handover identifies the new appointment, effective date and required filings, with documents signed and existing records released. Any change of address, register location or SCR designated representative also involves the relevant notifications and continuity of mail handling.
